These Terms of Service ("Terms") govern your access to and use of the DeepSmith platform (the "Platform") operated by OneJam Cloudtech Private Limited ("we", "us", or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

Acceptance of Terms

By creating an account or using the Platform, you confirm that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Description of Service

DeepSmith is an AI-powered content production platform that helps teams create, optimize, and distribute content. The Platform includes tools for brand intelligence, topic research, content creation, and multi-channel distribution. We reserve the right to modify, suspend, or discontinue any part of the Platform at any time with reasonable notice.

Account Registration

To use the Platform, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use of your account.

Acceptable Use

You agree not to use the Platform to:

  • Generate content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Infringe on the intellectual property rights of others.
  • Distribute spam, malware, or any form of unsolicited content.
  • Attempt to gain unauthorized access to the Platform or its related systems.
  • Use the Platform in any way that could damage, disable, or impair its functionality.
  • Misrepresent AI-generated content as human-written where disclosure is required by applicable law.

Intellectual Property

Your content: You retain ownership of all content you provide to the Platform (brand context, product descriptions, personas, and other inputs) and all content generated through your use of the Platform.

Our platform: The Platform, including its design, code, algorithms, and documentation, is owned by OneJam Cloudtech Private Limited and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

Payment Terms

Certain features of the Platform require a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your selected plan.
  • Provide accurate billing information.
  • Accept that subscriptions renew automatically unless cancelled before the renewal date.

We offer a 30-day money-back guarantee. If you are not satisfied with your subscription, you may request a full refund within 30 days of your purchase. Refunds are processed by our merchant of record, Paddle. We reserve the right to change pricing with 30 days' notice.

Termination

You may close your account at any time by contacting us. We may suspend or terminate your access to the Platform if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users or our business. Upon termination, your right to use the Platform ceases immediately. We will make your data available for export for 30 days following termination.

Limitation of Liability

To the maximum extent permitted by law, OneJam Cloudtech Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Platform. Our total liability for any claim arising from these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will be uninterrupted, error-free, or that AI-generated content will be accurate, complete, or suitable for any particular purpose.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through a notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
